1. Acceptance of Terms
By accessing or using any website, product, or service operated by NeeNam Solutions Pvt Ltd ("NeeNam", "we", "our", or "us"), you agree to be bound by these Terms and Conditions. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.
If you do not agree to these terms, you may not access or use our services.
2. Services and Products
NeeNam Solutions Pvt Ltd provides software products (SaaS) and engineering services including, but not limited to, AI-Driven E-Commerce, NGO Hub, AI Insights, CRM, and AI Factory Scheduler, as well as custom software development, IT consulting, cloud infrastructure, and related professional services.
We reserve the right to modify, suspend, or discontinue any part of our services at any time. We will provide reasonable notice of any material changes where practicable.
3. User Accounts
Access to certain services requires you to create an account. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activities that occur under your account.
- Notifying us immediately of any unauthorised use of your account at don.caleb@neenam.com.
You must provide accurate, current, and complete information during registration and keep it up to date. We reserve the right to suspend or terminate accounts found to have provided false information.
4. Payment and Billing
All pricing for NeeNam's products and services is quoted on a per-engagement basis. Unless otherwise agreed in a signed Order Form or Service Agreement:
- Subscription fees are billed monthly or annually in advance.
- Fees are non-refundable except where required by applicable law or as explicitly stated in a separate agreement.
- All prices are exclusive of applicable taxes (including GST) unless stated otherwise.
- Late payments may attract interest at 1.5% per month or the maximum rate permitted by law.
In case of billing disputes, please contact us within 30 days of the invoice date. Undisputed amounts remain payable.
5. Intellectual Property
All software, products, trademarks, logos, documentation, and content created by NeeNam Solutions Pvt Ltd remain the exclusive intellectual property of NeeNam Solutions Pvt Ltd. Nothing in these terms transfers any ownership rights to you.
Subject to payment of applicable fees, we grant you a limited, non-exclusive, non-transferable licence to use the specific products and services covered by your agreement for your internal business purposes.
Custom software or deliverables developed exclusively for a client under a signed Statement of Work shall be addressed in that document. By default, NeeNam retains ownership of all general-purpose code, frameworks, and reusable components.
6. Data and Confidentiality
Each party agrees to keep the other's confidential information strictly confidential and not to disclose it to third parties without prior written consent, except as required by law.
You retain ownership of the data you input into our products. You grant NeeNam a limited licence to process that data solely for the purpose of providing the agreed services. We will not sell your data to third parties.

7. Acceptable Use
You agree not to use our services to:
- Violate any applicable local, national, or international law or regulation.
- Transmit unsolicited or unauthorised advertising or promotional material (spam).
- Engage in any activity that disrupts, damages, or interferes with our services or servers.
- Attempt to gain unauthorised access to any part of our systems.
- Reverse engineer, decompile, or disassemble any of our software products.
- Resell or sublicense our services without our express written consent.
Violation of this policy may result in immediate suspension or termination of your account without refund.
8. Limitation of Liability
To the maximum extent permitted by applicable law, NeeNam Solutions Pvt Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of our services.
Our total aggregate liability to you for any claims arising under or related to these terms shall not exceed the total fees paid by you to NeeNam in the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these terms limits liability for death, personal injury, or fraud caused by our negligence, or any other liability that cannot be excluded by law.
9. Termination
Either party may terminate a subscription or engagement by providing written notice as specified in the applicable Order Form or Service Agreement. In the absence of a specific notice period, 30 days written notice is required.
We may terminate or suspend your access immediately and without notice if you materially breach these terms, become insolvent, or if we are required to do so by law.
Upon termination, your right to use our services ceases immediately. We will provide a reasonable opportunity to export your data for a period of 30 days following termination, after which it may be deleted.
10. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising under or related to these terms shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.
For disputes involving amounts below ₹10 lakhs, the parties agree to first attempt resolution through good-faith negotiation, and if unsuccessful, through binding arbitration under the Arbitration and Conciliation Act, 1996.
11. Changes to These Terms
We may update these Terms and Conditions from time to time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will notify active customers by email at least 14 days in advance.
Your continued use of our services after changes take effect constitutes acceptance of the revised terms.
